Marvell to acquire Lumentum in $115 billion all-stock deal focused on AI connectivity
Marvell to buy Lumentum for $115B all-stock deal to build full-stack optical connectivity portfolio for AI data centers.
Marvell Technology announced on November 2 that it will acquire Lumentum Holdings in an all-stock transaction valued at an implied enterprise value of $115 billion. Under the terms, Lumentum stockholders will receive 4.5 shares of Marvell common stock for each Lumentum share, giving them approximately 33 percent ownership of the combined company on a fully diluted basis.
Strategic rationale for optical AI infrastructure
The deal combines Marvell’s electrical and optical interconnect, network switching, and custom silicon capabilities with Lumentum’s high-performance lasers, optical transceivers, and optical circuit switching technology. Both companies highlighted the industry shift from copper-based connectivity toward optical solutions as AI clusters scale to higher bandwidth requirements that copper can no longer support efficiently, particularly in scale-up and scale-in architectures.
Marvell CEO Matt Murphy described the move as positioning the combined entity to define the next era of AI connectivity. Lumentum CEO Michael Hurlston noted that the pairing enables extreme co-design across the signal chain and faster time to market for optimized solutions. The companies expect the transaction to expand their total addressable market to $550 billion.
Financial terms and timeline
The offer represents a 23.9 percent premium to Lumentum’s unaffected closing price on October 28. The deal is expected to deliver more than $1 billion in annual run-rate cost synergies and to be accretive to Marvell’s non-GAAP earnings per share within the first year after closing. Matt Murphy will continue as chairman and CEO of the combined company, with Lumentum’s CEO and two other directors joining the board.
Closing is targeted for the first half of 2028, subject to stockholder approvals and regulatory clearances. Both companies also released concurrent quarterly results alongside the announcement.
The transaction underscores how quickly AI infrastructure spending is reshaping supplier strategies in the optical and semiconductor sectors, with companies racing to secure end-to-end connectivity portfolios ahead of next-generation data center builds.
